Terms of Service

Short version: Use Tokenn only for lawful clinic operations. You own your data. We own the software. Pay on time. Don't abuse the system. Either party can cancel.

1. Acceptance

By signing up for or using the Tokenn platform ("Service"), you ("Clinic", "you") agree to these Terms of Service ("Terms") on behalf of yourself and your organisation. If you do not agree, do not use the Service.

These Terms are governed by the laws of India and the Indian Contract Act, 1872. Disputes shall be resolved in the courts of Tamil Nadu.

2. The Service

Tokenn provides a cloud-based queue and token management platform for outpatient medical clinics, including:

• WhatsApp-based token issuance and patient notifications via Meta Cloud API.
• Real-time queue management dashboard for clinic staff.
• AI-powered patient query responses via Google Gemini.
• Analytics and reporting.

Tokenn is a software tool — it is not a medical device, does not provide medical advice, and is not a medical records system.

3. Accounts and access

3.1 Registration

You must provide accurate clinic information during signup. You are responsible for keeping your login credentials confidential. Notify us immediately on WhatsApp +91 86674 52543 if you suspect unauthorised access.

3.2 Roles

Each clinic account has one Owner (full access), and may add Doctors and Receptionists with scoped permissions. You are responsible for all activity by your staff accounts.

3.3 WhatsApp credentials

You are responsible for obtaining and maintaining your Meta WhatsApp Business Account and ensuring compliance with Meta's Business and Commerce Policies. Tokenn is not liable for message delivery failures caused by Meta's infrastructure or policy changes.

4. Plans and billing

4.1 Payment

Subscriptions are billed monthly in advance via Razorpay. All prices are in INR and exclusive of GST (18%). GST will be added at checkout. Our GSTIN is 33ABCDE1234F1Z5.

4.2 Failed payments

If payment fails, your account will be downgraded to a read-only state after a 3-day grace period. No data is deleted during this time.

4.3 Refunds

Refunds are available within 7 days of the first payment for new subscribers if the Service has not been used to send more than 50 WhatsApp messages. After that, all payments are non-refundable. Message us on WhatsApp +91 86674 52543 to request a refund.

5. Acceptable use

You may not use the Service to:

• Send unsolicited marketing messages or spam to patients.
• Collect or store data beyond what is necessary to operate a clinic queue.
• Impersonate a medical facility or provide false health information.
• Attempt to reverse-engineer, scrape, or disrupt the platform.
• Resell or sublicense the Service without written consent.
• Violate any applicable law, including India's IT Act 2000 and DPDP Act 2023.

Tokenn reserves the right to suspend accounts that violate these terms without prior notice.

6. Data ownership

You own your data. Patient names, phone numbers, and token records are your data ("Clinic Data"). You grant Tokenn a limited licence to process Clinic Data solely to provide the Service. See our Data Processing Agreement and Privacy Policy.

On cancellation, you may request a full export of your Clinic Data within 30 days. After 30 days, data will be permanently deleted.

7. Uptime and service levels

Tokenn targets 99.5% monthly uptime excluding scheduled maintenance. We will notify clinic owners at least 48 hours in advance of planned downtime. In the event of extended outage (>4 hours in a calendar month), affected clinics may request a pro-rated credit for that month.

WhatsApp message delivery depends on Meta's infrastructure and is outside Tokenn's control. We are not liable for Meta outages.

8. Intellectual property

The Tokenn platform, including its source code, design, and documentation, is owned by Cyberzio Innovations Pvt Ltd and protected by applicable intellectual property laws. These Terms do not grant you any rights in the platform software.

9. Limitation of liability

To the maximum extent permitted by Indian law, Tokenn's total liability for any claim arising from the Service is limited to the fees paid by you in the 3 months preceding the claim. Tokenn is not liable for indirect, incidental, or consequential damages, including loss of business or data.

10. Termination

You may cancel your subscription at any time from the Billing page. Cancellation takes effect at the end of the current billing period.

Tokenn may terminate your account immediately for material breach of these Terms, non-payment after the grace period, or illegal activity.

11. Changes to Terms

We will notify clinic owners by email at least 14 days before any material change. Continued use after the effective date constitutes acceptance.
